CLOCOT PRESALE, BETA & EARLY ACCESS TERMS

These Terms apply to any Clocot offer expressly described as a presale, preorder, Lab offer, prototype, beta, preview, pilot, founder offer, early access, or similar pre-production program.
They supplement the Clocot Terms of Service and the Billing, Subscriptions, Credits & Refund Policy.
1. NATURE OF A PRESALE
A presale is a purchase made before the relevant production service is fully launched or generally available.
A presale may provide:
- future access;
- a discounted access period;
- a reserved place;
- early access;
- participation in Clocot Lab;
- beta access;
- prototype access;
- special pricing; or
- another benefit stated in the offer.
A presale is not a purchase of equity, securities, ownership, profit participation, or investment rights unless a separate regulated investment agreement expressly says otherwise.
2. DEVELOPMENT STATUS
Presale products may still be under active development.
You acknowledge that the product may contain:
- bugs;
- incomplete features;
- temporary interfaces;
- interruptions;
- provider limitations;
- unfinished integrations;
- changing workflows;
- placeholder functions;
- performance issues; or
- other characteristics of pre-production software.
This is part of the nature of beta and early-access participation.
3. ESTIMATED AVAILABILITY
A launch date, target date, milestone, or estimated delivery date is a good-faith product target unless the offer expressly states that the date is guaranteed.
Software development can be affected by:
- testing;
- security;
- provider availability;
- integration approval;
- infrastructure;
- legal requirements;
- platform review;
- product quality;
- vendor changes; or
- unforeseen technical issues.
If a material delay occurs, we will provide information or remedies where required by the applicable offer or law.
4. WHAT YOU PURCHASE
The checkout page or Order defines the essential commercial terms of the presale, including where applicable:
- product or Office;
- access period;
- presale price;
- regular reference price;
- estimated availability;
- included features;
- included Credits, if any;
- beta access;
- Lab participation;
- number of seats or Offices; and
- special limitations.
Marketing examples, roadmaps, mockups, demos, or future feature descriptions do not add guaranteed deliverables unless expressly included in the Order.
5. ACCESS PERIOD
If a presale includes a fixed period of access, the access period normally begins when the relevant service is activated for the purchaser, not on the original purchase date, unless the offer states otherwise.
Beta access before production launch does not automatically reduce the production access period unless the offer expressly says that it does.
6. ACTIVATION
We may activate a presale in stages.
Activation may depend on:
- account verification;
- technical readiness;
- region;
- integration availability;
- capacity;
- testing cohort;
- plan;
- queue position; or
- another disclosed criterion.
A purchaser may receive beta access before full production availability.
7. FEATURE CHANGES BEFORE LAUNCH
Features may change during development.
We may:
- redesign interfaces;
- replace providers;
- rename features;
- modify workflows;
- change technical architecture;
- add or remove integrations;
- adjust limits;
- improve or replace Agents; or
- change implementation details.
We will not intentionally remove the essential commercial value of a paid presale without providing a reasonable alternative, cancellation right, refund, or other remedy where required by the offer or mandatory law.
8. NO GUARANTEE OF EVERY ROADMAP ITEM
Roadmaps communicate direction, not a guarantee that every planned feature will be delivered.
Clocot may prioritize reliability, compliance, security, core workflow quality, or other functionality over previously discussed roadmap items.
Only features expressly included in the applicable Order are contractual deliverables.
9. BETA AND LAB PARTICIPATION
A purchaser may receive access to Clocot Lab, prototype Offices, beta Offices, preview features, or experimental functionality.
These features may:
- be unstable;
- have usage limits;
- change frequently;
- use test data;
- be unavailable temporarily;
- be withdrawn;
- require feedback; or
- have separate instructions.
Unless the offer states otherwise, access to an experimental feature does not guarantee that the feature will become a permanent production feature.
10. FEEDBACK
We may ask early users to provide feedback, report bugs, test workflows, or evaluate features.
Unless a separate written agreement states otherwise, feedback is voluntary.
If you provide suggestions, ideas, or product feedback, the feedback provisions in the Terms of Service apply.
11. CUSTOMER RESPONSIBILITIES DURING BETA
Beta users should:
- keep critical backups of important source data;
- review AI output;
- supervise high-impact actions;
- avoid relying on experimental features as the sole control for mission-critical processes;
- report serious bugs responsibly;
- protect credentials; and
- use appropriate test environments when practical.
12. THIRD-PARTY SERVICES
A beta or presale feature may depend on external AI Providers, APIs, marketplaces, app stores, OAuth approvals, social networks, payment providers, or other third parties.
Clocot does not control the availability or approval decisions of independent third parties.
If a third-party dependency becomes unavailable, we may replace, modify, or remove the affected integration.
13. NO GUARANTEE OF BUSINESS RESULTS
A presale purchase does not guarantee:
- revenue;
- fundraising;
- campaign approval;
- campaign success;
- leads;
- sales;
- investment;
- platform acceptance;
- marketing performance;
- search ranking;
- social growth; or
- any other commercial result.
Clocot provides software and automation capabilities, not guaranteed outcomes.
14. CROWDFUNDING AND PLATFORM APPROVALS
Where a Clocot product assists with crowdfunding, presales, launch preparation, submissions, or campaign organization, third-party platforms independently decide whether to approve, reject, suspend, or remove a campaign.
Clocot cannot guarantee approval by Kickstarter, Indiegogo, investment platforms, payment processors, social platforms, or any other third party.
The customer remains responsible for the accuracy and legality of materials submitted to those platforms.
15. PAYMENT
Presale charges are collected at the time shown at checkout.
The payment reserves the benefits stated in the Order.
Taxes, currency, payment processing, and chargebacks are governed by the Billing Policy and applicable law.
16. CREDITS
If a presale includes Clocot Credits, the Order will state the amount and any special rules.
Credits are service-use units and not money, stored value, or an investment.
Credits are governed by the Billing, Subscriptions, Credits & Refund Policy.
17. CUSTOMER CANCELLATION
A purchaser may request cancellation as provided by:
- the specific presale offer;
- the Billing Policy;
- applicable consumer law; or
- another written agreement.
Where no statutory or contractual cancellation right applies, completed presale purchases may be non-refundable after the stated refund window.
18. DELAYED LAUNCH
If launch is materially delayed beyond the communicated target, we may provide one or more of the following depending on the circumstances:
- a revised target date;
- continued beta access;
- extended access;
- an alternative feature;
- service Credits;
- cancellation; or
- a refund.
Mandatory consumer rights always prevail.
19. CANCELED PRODUCT OR OFFER
If LexLupi permanently cancels a paid presale product before delivering the essential purchased service, we will provide an appropriate remedy, which may include a refund, replacement, alternative access, or another legally permitted remedy.
A refund will be provided where mandatory law requires it.
20. MATERIAL PRODUCT CHANGES
If a change materially alters the essential nature of the purchased presale, we will provide an appropriate notice and, where required, a cancellation or refund option.
Minor interface, provider, implementation, model, workflow, or branding changes are not normally considered material if the essential purchased function remains available.
21. CONSUMER RIGHTS
Nothing in these Terms removes mandatory consumer rights.
Depending on jurisdiction and the type of digital service, consumers may have:
- withdrawal rights;
- cancellation rights;
- conformity rights;
- repair or replacement rights;
- price-reduction rights;
- refund rights; or
- other statutory remedies.
Any legally valid loss or limitation of a digital-service withdrawal right applies only where the required legal conditions have been satisfied.
22. EARLY-ACCESS PRICE
An early-access or presale price may be lower than the intended future regular price.
A reference to a future regular price is a good-faith pricing plan at the time of the offer, not a guarantee that the future price can never change.
Presale pricing applies only to the purchase period or entitlement stated in the Order.
23. RENEWAL AFTER PRESALE
If a presale converts into a recurring Subscription, the renewal terms and renewal price will be disclosed before automatic renewal is charged.
A fixed presale access package does not automatically create a recurring Subscription unless the Order clearly states that it does.
24. PRODUCTION MIGRATION
We may migrate beta or Lab Accounts to the production environment.
Migration may include:
- account records;
- Office configuration;
- entitlements;
- subscriptions;
- Customer Content;
- Credits;
- workflow settings; and
- integrations.
Some beta configuration may require reauthorization or reconfiguration where production security or provider rules differ.
25. DATA AND PRIVACY
Personal information processed through presale, beta, and Lab programs is governed by the Privacy Policy.
Beta features may use different providers or temporary technical components. Material differences affecting privacy will be disclosed where required.
26. CONFIDENTIAL OR PREVIEW FEATURES
Some private beta features may be designated confidential.
If a beta is expressly labeled confidential, users must not publicly disclose non-public product information, screenshots, credentials, or technical details in violation of the applicable beta instructions or separate confidentiality agreement.
27. SUSPENSION AND TERMINATION
We may suspend beta or presale access for:
- security risk;
- abuse;
- fraud;
- chargeback abuse;
- policy violations;
- unlawful activity; or
- serious technical harm.
Termination for cause does not create a refund right unless required by law.
28. CHANGES TO THESE TERMS
We may update these Terms for future presales and evolving beta programs.
The version accepted at purchase governs the transaction unless a later change is legally required, beneficial to the purchaser, or accepted by the purchaser where required.
