CLOCOT BILLING, SUBSCRIPTIONS, CREDITS & REFUND POLICY

This Policy explains how pricing, subscriptions, usage charges, Clocot Credits, payments, renewals, cancellations, refunds, trials, promotions, and related billing matters work.
It applies together with the Terms of Service and any checkout page, order form, presale offer, enterprise agreement, or plan-specific terms.
1. PRICING AND ORDERS
Prices, billing periods, included usage, Credits, limits, and features are shown at checkout, on the applicable pricing page, in an Order, or in an enterprise agreement.
An Order becomes binding when payment is authorized or when another acceptance method stated in the Order is completed.
Prices may differ by:
- plan;
- Office;
- subscription period;
- region;
- currency;
- promotion;
- presale;
- enterprise agreement; or
- usage level.
2. CURRENCY AND TAXES
Prices are charged in the currency shown at checkout.
Unless stated otherwise, displayed prices may exclude taxes, duties, VAT, sales tax, withholding, or similar governmental charges.
You are responsible for applicable taxes except taxes imposed on LexLupi’s net income.
Where required, taxes may be calculated or collected by LexLupi or a payment provider.
3. PAYMENT PROCESSING
Payments may be processed by third-party payment processors.
By submitting payment information, you authorize the processor and LexLupi to charge the amounts shown in the Order, including recurring charges where the Order provides for automatic renewal.
Payment processors may apply their own terms, authentication, fraud checks, and card-network requirements.
4. SUBSCRIPTIONS
A Subscription provides access for the billing period stated in the Order.
Subscriptions may be:
- monthly;
- annual;
- multi-year;
- Office-specific;
- Organization-wide;
- usage-based;
- hybrid fixed-plus-usage; or
- otherwise described at checkout.
Features and limits depend on the purchased plan.
5. AUTOMATIC RENEWAL
If an Order states that a Subscription automatically renews, it will renew for the stated renewal period unless canceled before the renewal date.
We will provide renewal disclosures and notices where required by applicable law.
The renewal charge will use the then-applicable price disclosed to you, subject to any legally required advance notice of price changes.
6. CANCELLATION
You may cancel a recurring Subscription using the available account controls or another cancellation method we provide.
Cancellation normally stops future renewals and does not automatically refund the current billing period unless:
- the applicable offer states otherwise;
- mandatory law requires a refund; or
- LexLupi approves a refund under this Policy.
Access generally continues until the end of the paid period unless the account is terminated for cause or the Order states otherwise.
7. TRIALS
A trial may be free or discounted.
Trial duration, feature limits, and conversion terms are disclosed when the trial is offered.
If a trial converts automatically to a paid Subscription, we will disclose that fact and the applicable charge before enrollment as required by law.
Users should cancel before the trial deadline if they do not want the paid Subscription.
8. PROMOTIONS
Promotional prices, coupons, discounts, early-adopter offers, referral benefits, or bonus Credits may be subject to:
- eligibility rules;
- expiration dates;
- account limits;
- one-time use;
- geographic limits; or
- other stated conditions.
Promotions may not be combined unless expressly allowed.
9. USAGE-BASED CHARGES
Some Clocot functions may generate variable usage charges.
Usage may depend on factors such as:
- AI model;
- tokens;
- images;
- video duration;
- voice duration;
- API calls;
- workflow actions;
- storage;
- external provider fees;
- compute;
- data processing; or
- other measurable service consumption.
Rates may vary between providers and models.
The applicable rate or method of calculation will be presented in the product, plan, pricing information, or relevant Order.
10. CLOCOT CREDITS
Clocot Credits are closed-loop service-use units that may be applied to eligible Clocot usage.
Credits are not:
- money;
- legal tender;
- a bank deposit;
- an investment;
- stored value for general-purpose payments;
- a cryptocurrency; or
- a transferable financial instrument.
Credits may only be used for eligible Clocot services as described in the applicable plan or interface.
11. PURCHASED CREDITS
Purchased Credits are acquired for service use.
The number of Credits, price, eligible uses, and any expiration will be disclosed at purchase or in the applicable plan terms.
Credits cannot be used outside Clocot and cannot be used to pay another Clocot user unless a feature expressly permits a service allocation.
12. PROMOTIONAL AND BONUS CREDITS
We may grant promotional, trial, referral, bonus, service, or goodwill Credits.
Promotional Credits may have different:
- expiration;
- eligibility;
- consumption order;
- feature access;
- transfer rules; or
- refund treatment
from purchased Credits.
Those conditions will be disclosed with the promotion where material.
13. CREDIT CONSUMPTION
Credits may be deducted when an eligible action is requested, reserved, initiated, or successfully completed, depending on the service.
Where provider costs are estimated in advance, Clocot may reserve an estimated amount and reconcile the final amount after completion.
A failed action may consume some Credits where third-party costs were actually incurred, unless the applicable product states otherwise.
14. VARIABLE PROVIDER COSTS
Third-party AI and infrastructure providers may change their prices.
Clocot may adjust Credit consumption rates or usage prices to reflect changes in:
- provider pricing;
- currency;
- compute costs;
- model cost;
- infrastructure;
- feature design; or
- commercial terms.
Material changes to recurring paid plans will be disclosed as required by law or contract.
15. CREDIT EXPIRATION
Credits expire only if an expiration rule is disclosed for the applicable Credit type, plan, promotion, or Order, and only to the extent permitted by applicable law.
Where no expiration is stated for purchased Credits, we will not retroactively impose an undisclosed expiration on those Credits.
16. NO CASH VALUE AND NO TRANSFER
Unless mandatory law requires otherwise, Credits:
- are non-refundable except as stated in this Policy;
- cannot be redeemed for cash;
- cannot be withdrawn;
- cannot be sold;
- cannot be transferred between unrelated Accounts; and
- do not earn interest.
17. FAILED PAYMENTS
If payment fails, we may:
- retry the payment;
- notify the account owner;
- limit paid features;
- pause renewal;
- suspend service;
- require another payment method; or
- terminate the unpaid Subscription.
You remain responsible for valid amounts already due.
18. CHARGEBACKS AND PAYMENT DISPUTES
If you believe a charge is incorrect, contact us before initiating a chargeback where reasonably possible.
A fraudulent or abusive chargeback may result in suspension.
Nothing in this section limits rights provided by card networks or mandatory consumer law.
19. REFUND REQUESTS
Except where required by law or an applicable offer, fees are generally non-refundable once the paid service period has begun or the purchased service has been delivered.
We may grant refunds or service Credits in our discretion for:
- duplicate charges;
- billing errors;
- material service failures;
- accidental duplicate purchases;
- canceled presales;
- or other circumstances we consider appropriate.
Discretionary refunds do not create a continuing obligation to provide the same refund in future cases.
20. CONSUMER WITHDRAWAL RIGHTS
Consumers may have statutory cancellation or withdrawal rights depending on their country and the type of digital service purchased.
Nothing in this Policy removes a mandatory right that cannot lawfully be waived.
For digital services or digital content, the timing and availability of withdrawal rights may depend on whether:
- performance has begun;
- the consumer requested immediate performance;
- required acknowledgements were provided; and
- applicable law permits the withdrawal right to end or be reduced.
Clocot will apply mandatory consumer rules based on the relevant transaction.
21. DIGITAL SERVICE PERFORMANCE
If a consumer requests immediate access to a digital service before the end of an applicable withdrawal period, additional consent or acknowledgement may be required under local law.
Clocot will not rely on a waiver or loss of withdrawal rights unless the required legal conditions have been satisfied.
22. PLAN CHANGES
Upgrades may take effect immediately and may be prorated or charged as described at checkout.
Downgrades normally take effect at the next billing period unless otherwise stated.
Changing a plan may change:
- Office limits;
- feature availability;
- usage rates;
- Credits;
- storage;
- integrations; and
- support level.
23. PRICE CHANGES
We may change future prices.
For recurring Subscriptions, material price changes will take effect prospectively and will be disclosed in advance where required.
If you do not accept a future renewal price, you may cancel before the renewal date.
24. TAX AND BILLING INFORMATION
You are responsible for providing accurate billing, tax, and business information.
We may require additional information to issue a valid invoice, determine tax treatment, verify business status, or comply with law.
25. ACCOUNT CLOSURE
Closing an Account does not automatically create a refund.
Unused promotional Credits may be forfeited when an Account closes.
Treatment of unused purchased Credits will follow the applicable Order, this Policy, and mandatory law.
26. PRESALE AND BETA PURCHASES
Presale, Lab, beta, prototype, and early-access purchases are also governed by the Presale, Beta & Early Access Terms.
If there is a conflict, the more specific presale terms control for that purchase, subject to mandatory consumer rights.
27. BILLING ERRORS
Report suspected billing errors promptly to office@clocot.com.
Include:
- account email;
- invoice or transaction identifier;
- date;
- amount; and
- a short explanation.
Do not email complete payment-card numbers.
28. CHANGES AND CONTACT
We may update this Policy for new plans, payment methods, Credits, billing models, providers, or legal requirements.
